The second meeting of the Varley-McKay Art Foundation of Markham convened at the hour of

4:15 p.m. with Bill Pickering presiding as Chair. 

 

1.   ADOPTION OF THE MINUTES OF THE

      VARLEY MCKAY ART FOUNDATION OF MARKHAM

      MEETING HELD ON JANUARY 16, 2006

 

      Approval of the minutes from the January 16th Varley McKay Art Foundation of Markham meeting was deferred to the next regular meeting slated for February 20, 2006.

 

2.   CHAIR’S OPENING REMARKS – The Chair welcomed Lisa Valentini, Assistant Town Solicitor with the Town of Markham; he proceeded to give a brief overview on the work done by the committee, composed of himself, Howard Back and Donald Hindson, in conjunction with representatives from the Town’s Legal Department, in putting together the final version of this Memorandum of Understanding (MOU) before the Foundation tonight. 

 

3.   NEW BUSINESS

 

a)   Memorandum of Understanding – The intent of the MOU is to clarify the relationship between the Town of Markham and the Varley McKay Art Foundation; clearly define the Foundation’s goals and objectives in light of the amalgamation of the old Art Gallery Board and the Foundation Board; set in motion the holding of annual meetings; obtaining audited financial statements.  It was agreed that the role of the Art Gallery is a constantly evolving process and the necessary documentation should be in place to ensure clarity when it comes to assuring potential donors that any monetary donation made does go into the Art Gallery and not to the Town of Markham.  There are still a number of outstanding issues that the Foundation has referred back to the Town for resolution:  updating of the by-law regulating the Gallery in light of the restructuring into the Varley McKay Art Foundation of Markham; the holding of annual meetings; and the unresolved pledges issue from the initial fund-raising campaign to build the Gallery.

 

      On a motion by Donald Hindson, seconded by Patty Loveland and carried, approval was given to the Memorandum of Understanding as circulated.

 

4.   DATE OF NEXT MEETING

 

The next regular meeting of the Varley-McKay Art Foundation of Markham is scheduled for:

 

MONDAY, FEBRUARY 20, 2006, AT 4:00 p.m. IN THE GALLERIES AT THE VARLEY ART GALLERY.

 

7.   ADJOURNMENT

     

      There being no further business, it was agreed to adjourn.

 

On a motion by Patty Loveland and seconded by Howard Back, the meeting adjourned at

5:00 p.m.
